Terms of Service

These terms apply when you use itslbp.com, place an order, or buy consulting time with us. They are written to be read. If anything here is unclear, ask before you pay — not after.

Effective Applies to itslbp.com

01The short version

We provide business and recovery-housing consulting, led personally by Marvin Caldwell. We give you experienced guidance and a written plan. We do not give you legal, financial, tax or clinical advice, and we do not promise any income, funding, residents or results. Running your business — and staying compliant where you run it — is your responsibility. Consulting is paid upfront by Zelle or bank wire and is covered by our Refund Policy.

The rest of this page is the detail behind that paragraph.

02Who we are

ITSL Blueprint is a brand of TDSW Inc. “We”, “us” and “our” on this page mean TDSW Inc, operating as ITSL Blueprint. “You” means the person using the site or buying from us, and the business you act for, if you buy on its behalf.

You can reach us at [email protected].

03Agreeing to these terms

By using itslbp.com, placing an order, or paying for consulting, you agree to these terms, our Refund Policy, our Privacy Policy and our Earnings Disclaimer. If you do not agree, please do not use the site or buy from us.

You must be 18 or older to place an order or buy from us. If you buy for a business, you confirm you are authorised to bind it to these terms.

04What we offer

  • The Initial Consultancy — personal consulting with Marvin Caldwell, ordered on this site. Described in full below.
  • Follow-on engagements — further consulting after an Initial Consultancy.
  • Other programs — such as training on starting and operating recovery housing.

Follow-on engagements and other programs are scoped individually: their price, what is included and their refund terms are given to you in writing before you pay. Where those written terms differ from this page, the written terms for that engagement apply.

Everything we sell is consulting and education. We sell our time, our knowledge and our materials — nothing more is implied by any purchase.

05What we are not

Please read this section carefully

It defines what you are and are not paying for.

  • Not professional advice. Nothing we say or provide is legal, financial, investment, tax, accounting, insurance, clinical or medical advice. We are not your lawyer, accountant or financial adviser. Where a decision needs one, we will tell you to get one, and you should.
  • Not treatment. We advise on business and housing operations. We do not provide, or advise on the delivery of, clinical, medical or addiction treatment services.
  • Not a licensing or certification body. Nothing we provide is a licence, permit, certification or accreditation, and working with us does not qualify you for one.
  • Not a franchise. We grant no territory, no trademark or brand rights, no exclusivity, and no right to operate under our name.
  • No residents, referrals or customers. We do not provide, promise or arrange residents, referrals, placements, customers, accounts or outlets for your business, and we do not find or provide locations for it. We can explain how referral relationships work so that you can build your own.
  • No buy-backs. We do not buy, lease back or take over anything you build or operate.
  • No funding. We do not provide, promise or arrange grants, loans, contracts, public funding or financing. Any public funding figures we cite describe the wider system, not money available to you through us.

06No promised results

We make no promise, projection or representation about income, revenue, profit, occupancy, approvals, timelines or any other business result. Any figure we show — on the site, in a document or in a meeting — is an illustrative example, not a forecast for you. Outcomes depend on your market, your property, your capital, your compliance, your relationships and how you operate, and some businesses do not succeed. See our Earnings Disclaimer.

07Your responsibilities

  • Compliance is yours. Licensing, certification, zoning, occupancy, fire, building, fair housing, landlord-tenant, business registration, tax and insurance requirements vary by state and very often by city. You are responsible for finding out what applies where you operate and for meeting it. Verify with the relevant authorities and with qualified local counsel before you sign a lease, buy a property or accept a resident.
  • Your decisions are yours. You decide whether and how to act on anything we suggest, and you carry the results of those decisions.
  • Give us accurate information. Our guidance is only as good as what you tell us.
  • Protect other people’s information. Do not share residents’, applicants’ or clients’ personal, medical or treatment information with us. Remove identifying details before you describe a real situation.

08The Initial Consultancy

The Initial Consultancy at a glance
Price$5,000, one-time, paid upfront by Zelle or bank wire — or the lower invitation price shown on your order if you used an invitation code we issued
Consulting timeUp to 7 hours in total
MeetingsAs many as the work needs within that time, in person or by video. The number, length and format are agreed together at your first meeting
First meetingWe contact you within one business day of confirming your payment to schedule it; please hold it within 30 days of payment
At the closeA written action plan

What is included

  • personal meetings with Marvin, in person or by video;
  • a review of the goals and background you give us, before your first meeting;
  • review of documents you share — for example a lease or listing you are considering, a budget, a business plan or your policies;
  • specialists from our team where the work calls for it (see Our team and partner introductions);
  • email between meetings for scheduling and quick questions;
  • a written action plan at the close, with priorities, sequence and owners.

How the 7 hours are counted

Meetings, time spent reviewing your documents, and time spent preparing your written plan count toward the 7 hours. Scheduling messages and quick questions by email do not. Ask at any point and we will tell you how much time you have used.

Starting and finishing

The engagement starts when your payment is confirmed. We then contact you to schedule your first meeting; please hold it within 30 days of payment. If 30 days pass without a first meeting scheduled, we may close the order and refund your payment in full. The pace of the remaining meetings is agreed with you at the first meeting and confirmed by email.

In-person meetings

In-person meetings are held at a place we agree with you. If a meeting needs travel beyond our local area, any travel cost is agreed with you in writing before the meeting.

09Orders, holds and invitation codes

  • Placing an order charges nothing. It reserves your Initial Consultancy and gives you an order number and payment instructions.
  • We hold an unpaid order for 3 business days. If payment has not arrived by then, we may release it. Nothing is owed on a released order, and you can place a new one at any time.
  • Your engagement is confirmed when your full payment arrives and we confirm it to you by email.
  • Invitation codes are issued by us personally. A code applies only to an order placed with it, has no cash value, cannot be combined with another code, and may be withdrawn at any time. Withdrawing a code never changes the price of an order already placed with it.

10Scheduling and missed meetings

  • Meetings are scheduled by agreement, by email, phone or text.
  • To reschedule, give us at least 24 hours’ notice.
  • A meeting you miss without 24 hours’ notice counts against your consulting time as if it had taken place.
  • If we need to reschedule, we will offer you a new time, and you keep all the time you paid for. If we cannot deliver it, the Refund Policy sets out your options.

11Our team and partner introductions

Specialists from our own advisory team who join a meeting work for us, under these terms. Partner introductions are different.

Where it would help you, Marvin may introduce you to people he works with — for example in business formation, credit, real estate and lending, or construction.

  • Partners are independent businesses. We do not control them and are not responsible for their work, advice, fees or conduct.
  • If you work with a partner, you contract with them directly and their own terms apply.
  • Introductions are optional. You are never required to use a partner.
  • We do not promise any partner’s approval, financing, credit outcome, price or timeline.
  • We may have business relationships with some partners we introduce, which can include receiving compensation. Ask us, and we will tell you whether a relationship exists before you engage them.

12Price and payment

  • Prices are in US dollars and are shown on the site and on your order before you pay.
  • Consulting is paid upfront, by Zelle or by bank wire, to TDSW Inc. Your bank shows Zelle payments to us under the name “TDSW”. Put your order number in the memo or wire reference so we can match your payment.
  • You send the payment from your own bank, and your bank’s own terms, fees and limits apply. Many banks cap Zelle per day; you may split a payment into two transfers with the same order number.
  • We do not take card payments for orders placed on this site, and we never ask for your card number or your bank login.
  • Only pay to the details shown on your order page and in our emails. If anyone asks you to send payment somewhere else, contact us before you send anything.
  • We may change our prices at any time. A change never affects an order you have already placed.

13Refunds

Refunds are covered by our Refund Policy, which forms part of these terms. In short: the Initial Consultancy is fully refundable until your first meeting, and anything you sent toward an order that is released is refunded in full. If you have a problem with a payment, please email [email protected] first — we will answer faster than a dispute process will.

14Confidentiality

We keep what you share with us about your plans, properties and finances confidential. We share it only with your permission — for example when you ask us to introduce you to a partner — or where the law requires it. Specialists from our team who join your engagement are bound by the same duty. We may use general lessons from our work, but never in a way that identifies you or your business without your consent.

15Recording meetings

Neither side records a call or meeting without the consent of everyone on it. If you would like a recording for your own notes, ask at the start of the meeting.

16Our materials

Our documents, templates, checklists, plans and other materials belong to us. When you receive them, we give you a personal, non-transferable licence to use them to run your own business. You may adapt our templates for your own use.

You may not resell, republish, share, upload or distribute our materials, or use them to teach, coach or consult for others, without our written permission. The site’s content is covered by the same rule.

17Conduct

Please treat Marvin and our team with respect. We may end a meeting or end an engagement if someone is abusive, harassing, discriminatory or disruptive, or uses our services for anything unlawful. If we end a paid engagement for conduct, we will refund any unused time unless the conduct was serious enough to make that unreasonable.

You may not misuse the site — for example by attempting to break in, overload it, scrape it, guess invitation codes, or submit false or automated orders.

18Email, calls and texts

When you place an order or buy, you agree that we may contact you by email, phone or text about your order, your scheduling and your engagement. Message and data rates may apply. Reply STOP to stop texts at any time. We send marketing messages only as described in our Privacy Policy, and every marketing email has an unsubscribe link.

19Disclaimer of warranties

We will provide our services with reasonable care and skill. Beyond that, and to the fullest extent the law allows, the site, our materials and our services are provided “as is”, and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will always be available or error-free, or that any information is complete or current for your jurisdiction — rules change, and you must verify them.

20Limit of liability

To the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, data or opportunity, arising from the site, our materials or our services;
  • our total liability for any claim relating to the site, our materials or our services is limited to the fees you paid us in the 12 months before the claim arose.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, gross negligence or wilful misconduct.

21Indemnity

You agree to defend and indemnify TDSW Inc and its owners, officers, employees and contractors against claims, losses and reasonable costs, including legal fees, that arise from your operation of any housing or business, your dealings with residents, landlords, partners or authorities, your breach of these terms, or your violation of any law or of anyone else’s rights.

22Governing law and disputes

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

  1. Talk to us first. If you have a dispute with us, email [email protected] and describe it. Both sides agree to try in good faith to resolve it informally for at least 30 days before starting any formal proceeding.
  2. Then the courts. If it is not resolved, it will be decided by the state or federal courts located in California, and both sides consent to those courts’ jurisdiction. Either side may instead bring a claim in small claims court if it qualifies.

Nothing in this section takes away any right you have under law that cannot be waived by agreement.

23Changes to these terms

We may update these terms. When we do, we change the effective date at the top and publish the new version here. The terms in effect when you placed your order govern that order. Continuing to use the site after a change means you accept the updated terms for future use and purchases.

24General

  • Entire agreement. These terms, together with the policies they link to and any written terms we give you for a specific engagement, are the whole agreement between us about their subject.
  • Severability. If any part of these terms is found unenforceable, the rest stays in effect, and the unenforceable part is applied as far as the law allows.
  • No waiver. If we do not enforce a term straight away, we have not given up the right to enforce it later.
  • Assignment. You may not transfer your rights under these terms without our consent. We may transfer ours to a successor business, and these terms will continue to apply.
  • Events outside our control. Neither side is responsible for a delay caused by events genuinely outside its reasonable control. If one affects a paid meeting, we will reschedule it.
